    Terms of Service

    Thank you for using DealerIQ-AI. By accessing or using our website or services (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you may not use the Service.

    1. Definitions

    “Company”, “We”, “Us”: DealerIQ-AI

    “You”, “Customer”, “User”: any person or entity who registers for or uses the Service

    “Service”: DealerIQ-AI’s software platform including CRM, marketing automation, AI dialer, video and audio calls, website integration, and related features made available via https://dealeriq.ai/

    “Account”: your registered user account to access the Service

    “Customer Data”: all data, content, and information you upload, generate, or store using the Service (e.g. leads, contact details, dealer inventory, communications)

    2. License & Access

    We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business operations, subject to these Terms and your payment of applicable fees. This license is for the duration of your subscription or until termination.

    3. User Accounts and Responsibilities

    You agree to:

    • Provide accurate, up-to-date registration and billing information
    • Securely maintain your login credentials; you’re responsible for all activities on your Account
    • Notify us immediately of any unauthorized use or security breach
    • Use the Service in compliance with applicable laws

    You may not:

    • Reverse engineer, decompile, or attempt to derive the source code of the Service
    • Use the Service to harass, spam, or store illegal content
    • Resell, sublicense or distribute the Service
    • Use the Service in a way that violates third-party rights

    4. Customer Data & Ownership

    You retain full ownership of all Customer Data. DealerIQ-AI stores, processes, and transmits that data solely to provide the Service. We will not use or distribute your Customer Data for marketing or resale without your explicit permission.

    You are responsible for ensuring that any data you upload or manage via DealerIQ-AI complies with applicable laws (e.g. data protection, permissions, consent).

    5. Fees, Payment, and Renewal

    • Subscription fees are as described on our website or in your plan agreement.
    • All fees are non-refundable unless otherwise agreed.
    • Subscriptions renew automatically unless canceled before the end of the current billing term.
    • We reserve the right to change fees upon notice; continued use after fee changes constitutes acceptance.

    6. Service Availability & Support

    We aim to maintain continuous availability, but you acknowledge that downtime may occur (e.g. maintenance, updates, unforeseen issues). We do not guarantee uninterrupted service.

    Support is offered per your subscription plan. We will make reasonable efforts to address and resolve issues you report in accordance with our support policies.

    7. Termination & Suspension

    We may suspend or terminate your Account immediately if you:

    • Violate these Terms
    • Fail to pay fees
    • Engage in unauthorized use or abuse

    Upon termination, your license ends, you lose access to the Service, and we may delete or archive your Customer Data according to our data retention policies.

    You may cancel at any time. Cancellation prevents renewal; you remain responsible for all fees accrued before cancellation takes effect.

    8. Intellectual Property & Feedback

    All intellectual property rights in the Service — including software, trademarks, code, UI/UX — remain with Company or its licensors.

    If you provide feedback or suggestions, you grant DealerIQ-AI a perpetual, royalty-free license to use, modify, and incorporate such feedback as we see fit.

    9. Disclaimers & Limitation of Liability

    NO WARRANTIES: The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including fitness for a particular purpose, availability, security, accuracy, or suitability of any output or results.

    LIMITED LIABILITY: In no event will Company be liable for:

    • Indirect, incidental, special, or consequential damages
    • Lost profits, data loss, or business interruption
    • Any claim arising from use or inability to use the Service

    Our total liability is limited to the amount of fees you paid in the 12 months preceding the claim.

    10. Indemnification

    You agree to defend, indemnify and hold harmless DealerIQ-AI, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, or expenses arising from:

    • Your improper use of the Service
    • Your Customer Data
    • Violation of applicable laws or third-party rights

    11. Modifications to Terms

    We may modify these Terms at any time. We will post the revised Terms on our website with a “Last Updated” date. Continued use after updates indicates acceptance of the new Terms.

    If you do not agree, you must discontinue use.

    12. Governing Law & Disputes

    These Terms are governed by the laws of California, United States, without regard to its conflict-of-law principles.

    Any dispute relating to these Terms or the Service shall be resolved through binding arbitration in Orange County, CA, or small-claims court if eligible.

    13. Severability & Waiver

    If any provision of these Terms is found invalid or unenforceable, the remainder will continue in full force. Failure to enforce any right under these Terms does not constitute a waiver of that right.
